1. Acceptance and operator
These Terms of Service govern access to the Praviqo website, software, AI-assisted work platform, and related services (the "Service") operated by Praviqo, Inc., a Delaware corporation ("Praviqo," "we," "us," or "our"). By creating an account, purchasing a plan, or using the Service, you agree to these Terms and the Acceptable Use Policy. If you use the Service for an organization, you represent that you can bind it.
2. Eligibility and accounts
You must be at least 18 and legally able to form a contract. Provide accurate account information, protect credentials, and promptly report unauthorized access. You are responsible for activity under your account and for users you authorize.
3. Service and review obligations
Praviqo helps customers plan, generate, coordinate, and review business work using automated systems. AI output can be incomplete or incorrect. You must review output and retain qualified human oversight for legal, financial, employment, safety, eligibility, healthcare, credit, insurance, and other high-impact decisions. The Service does not provide professional advice.
4. Permissions and connected services
You control which accounts, data, and permissions are connected. You authorize Praviqo and its subprocessors to process instructions and customer content only as needed to provide the Service. You are responsible for obtaining rights and consent for data you submit and for recipients of communications you direct.
5. Subscriptions, AI budget, and taxes
Displayed prices are in US dollars unless stated otherwise. A subscription renews automatically for the disclosed billing period until canceled. Before purchase, checkout will show the price, billing frequency, material plan limits, and any trial or promotion. AI compute or "Power" is a separately disclosed prepaid balance. The Service pauses covered work when the available balance is insufficient. You authorize applicable recurring charges and taxes.
6. Cancellation and refunds
You may cancel renewal through available account controls or by contacting admin@praviqo.com. Cancellation remains effective at the end of the current paid period unless stated otherwise. Except where checkout expressly promises a refund or law requires one, paid subscription periods and consumed compute are non-refundable. If Praviqo cannot verify that a covered task completed due to a Service-side failure, the task is not charged under the Verified Work Guarantee. This guarantee does not cover customer changes, unavailable third-party services, missing permissions, or rejection of otherwise completed work.
7. Customer content and output
You retain ownership of customer content. As between you and Praviqo, and to the extent permitted by law, you own eligible output generated specifically for you after payment. You grant us a limited license to host, process, transmit, and display customer content solely to operate, secure, support, and improve the Service. Output may not be unique, and third-party rights can apply.
8. Privacy and data
Our Privacy Policy explains personal-data practices. We do not use customer content to train general-purpose AI models unless you affirmatively opt into a separately described program. You may not submit regulated or sensitive data unless Praviqo expressly supports it under a written agreement.
9. Intellectual property
Praviqo and its licensors own the Service, software, designs, trademarks, documentation, and underlying systems. These Terms grant a limited, revocable, non-exclusive, non-transferable right to use the Service during an active account. They do not transfer ownership of the Service.
10. Affiliate program
Affiliate participation requires acceptance of separate program terms. Affiliates must make clear and conspicuous disclosures of their financial relationship with Praviqo, avoid deceptive claims, and comply with advertising, email, privacy, and consumer-protection law. Fraud, self-referral, brand bidding, or unsolicited bulk messaging may result in termination and forfeiture of ineligible commission.
11. Third-party services
Integrations and model providers have their own terms and availability. Praviqo is not responsible for third-party services, but we remain responsible for our contractual duties concerning subprocessors. You may disconnect integrations through available account settings.
12. Suspension and termination
We may suspend or terminate access for material breach, security risk, unlawful activity, nonpayment, or conduct that threatens the Service or others. Where practical, we will provide notice and an opportunity to cure. You may stop using the Service and cancel at any time. Provisions that by nature should survive will survive.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PRAVIQO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ERROR-FREE OUTPUT, CONTINUOUS AVAILABILITY, OR A PARTICULAR BUSINESS RESULT. RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED REMAIN IN EFFECT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAVIQO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. PRAVIQO'S AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR AMOUNTS YOU PAID TO PRAVIQO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE PROHIBITED.
15. Indemnification
To the extent permitted by law, you will defend and indemnify Praviqo against third-party claims arising from your customer content, unlawful use, communications you direct, or material violation of these Terms. Praviqo will provide prompt notice and reasonable cooperation, and you may not settle a claim imposing liability or admissions on Praviqo without consent.
16. Governing law and venue
These Terms are governed by Delaware law, without regard to conflict-of-law rules. Subject to any mandatory consumer forum, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. Changes
We may revise these Terms prospectively. Material changes will be announced through the Service, email, or this page before they take effect when required. Continued use after the effective date constitutes acceptance, except where law requires affirmative consent.
18. General
These Terms, incorporated policies, and applicable order terms are the agreement about the Service. If one provision is unenforceable, the rest remains effective. Failure to enforce is not a waiver. You may not assign these Terms without consent; Praviqo may assign them in connection with a merger, financing, reorganization, or sale of assets. Nothing in these Terms waives rights or remedies that applicable consumer law does not permit the parties to waive.
